Interim Management Statement

Farnham UK, 28 October 2010: Biocompatibles International plc (LSE:BII) is today issuing its Interim Management Statement relating to the period from 1 July 2010 to 27 October 2010.

Financial update

Sales remain in line with management's expectations and the Company continues to expect full year revenue in the range of £31m to £34m.

The Company's cash balance decreased by £0.7m during the three month period ended 30 September 2010, closing with £32.7m as at 30 September. During the quarter, the Company paid $2.5m as the first of two instalments due as consideration for the acquisition of patents described below. The Company now expects to exceed the year end guidance for closing cash of £26m.

Operational update

On 6 July 2010, the Company announced that it had acquired certain patents protecting its Bead Products, which were previously licensed from Biocure, Inc. The first instalment of $2.5m was paid in July and the remaining $2.0m is due in January 2011. The acquisition is expected to be earnings enhancing from the outset.

On 26 August 2010, the Company was pleased to announce the presentation of promising Phase I/II data in PARAGON Louisville, a clinical trial evaluating DEBIRI (Drug-Eluting Beads loaded with irinotecan) in liver metastases from colo-rectal cancer; and FDA approval for continuing the clinical trial into a 60 patient randomised Phase IIb. The first patients have now been treated in this trial.

The Company reported, on 20 September, that it had received a preliminary approach, which may or may not lead to an offer being made for the Company. The Company is therefore deemed to be in an Offer Period for the purposes of the Takeover Code. Shareholders are advised to take no action at this time. A further announcement has been made today, in which the Board of Biocompatibles now confirms that it is in advanced discussions with a potential offeror.

On 23 September 2010, the Company announced the treatment of an initial group of Type 2 diabetes patients in the third of four studies in the CM3 Product Development Programme partnered with AstraZeneca. This third trial in the programme is a Single Ascending Dose study in up to 16 patients; this trial is now fully recruited. The fourth trial will be in a larger group of patients with a Multiple Ascending Dose, and is expected to start later in 2010 and be concluded in the first half of 2011.

On 15 October the Company provided an update on the Novabel1 product. Progress has been made towards, but no date has yet been established for the re-introduction of Novabel and Biocompatibles management has therefore taken the decision not to budget any production or sales of the product to Merz in 2011. The business plan had included sales to Merz of around £3m in 2011. Intensive work continues on the programme with the active involvement of the Company and its licencee and marketing partner.

Dealing Disclosure Requirements

Following the announcement made on Monday, 20 September 2010 that the Company is in an offer period for the purposes of the Takeover Code, the Company is required to restate the following:

Under Rule 8.3(a) of the Code, any person who is interested in 1% or more of any class of relevant securities of an offeree company or of any paper offeror (being any offeror other than an offeror in respect of which it has been announced that its offer is, or is likely to be, solely in cash) must make an Opening Position Disclosure following the commencement of the offer period and, if later, following the announcement in which any paper offeror is first identified. An Opening Position Disclosure must contain details of the person's interests and short positions in, and rights to subscribe for, any relevant securities of each of (i) the offeree company and (ii) any paper offeror(s). An Opening Position Disclosure by a person to whom Rule 8.3(a) applies must be made by no later than 3.30 pm (London time) on the 10th business day following the commencement of the offer period and, if appropriate, by no later than 3.30 pm (London time) on the 10th business day following the announcement in which any paper offeror is first identified. Relevant persons who deal in the relevant securities of the offeree company or of a paper offeror prior to the deadline for making an Opening Position Disclosure must instead make a Dealing Disclosure.

Under Rule 8.3(b) of the Code, any person who is, or becomes, interested in 1% or more of any class of relevant securities of the offeree company or of any paper offeror must make a Dealing Disclosure if the person deals in any relevant securities of the offeree company or of any paper offeror. A Dealing Disclosure must contain details of the dealing concerned and of the person's interests and short positions in, and rights to subscribe for, any relevant securities of each of (i) the offeree company and (ii) any paper offeror, save to the extent that these details have previously been disclosed under Rule 8. A Dealing Disclosure by a person to whom Rule 8.3(b) applies must be made by no later than 3.30 pm (London time) on the business day following the date of the relevant dealing. If two or more persons act together pursuant to an agreement or understanding, whether formal or informal, to acquire or control an interest in relevant securities of an offeree company or a paper offeror, they will be deemed to be a single person for the purpose of Rule 8.3.

Opening Position Disclosures must also be made by the offeree company and by any offeror and Dealing Disclosures must also be made by the offeree company, by any offeror and by any persons acting in concert with any of them (see Rules 8.1, 8.2 and 8.4).

Details of the offeree and offeror companies in respect of whose relevant securities Opening Position Disclosures and Dealing Disclosures must be made can be found in the Disclosure Table on the Takeover Panel's website at www.thetakeoverpanel.org.uk, including details of the number of relevant securities in issue, when the offer period commenced and when any offeror was first identified. DC Bead is approved by the Department of Health and is intended to be loaded with Mayne (Hospira) doxorubicin HCI for the purpose of embolisation of vessels supplying malignant hypervascularised tumour(s), and delivery of a local, controlled, sustained dose of doxorubicin.  DC Bead is also indicated for the embolisation of nidus vessels without medication.  Approved size ranges in Taiwan are 300-500µm and 500-700µm.

Hong Kong

PRECISION Bead™ is indicated for the delivery of Doxorubicin, a chemotherapeutic agent for the treatment of malignant hypervascular tumours, where Trans Arterial Embolisation (TAE) is not contraindicated.
